CLASS ACTION WAIVER
YOU ACKNOWLEDGE AND AGREE THAT ALL DISPUTES ARISING UNDER THIS AGREEMENT SHALL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. BY ACCEPTING THESE TERMS, YOU VOLUNTARILY WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION, WHETHER IN COURT OR IN ARBITRATION. DETAILED PROVISIONS GOVERNING THIS WAIVER APPEAR IN CHAPTER 2 BELOW.
JURY TRIAL WAIVER
TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, YOU AND THE COMPANY EACH IRREVOCABLY RELINQUISH THE RIGHT TO A TRIAL BY JURY IN ANY PROCEEDING ARISING OUT OF OR RELATING TO THIS AGREEMENT OR YOUR USE OF THE SERVICE.
NO REAL-MONEY GAMBLING
Cash Avalanche does not operate as a real-money gambling platform. The Service functions as a promotional sweepstakes entertainment experience utilizing virtual currencies — specifically Gold Coins and Sweepstakes Coins — neither of which constitutes legal tender or carries inherent monetary value. Participation in the Platform does not require any purchase or payment of any kind.
INCORPORATED POLICIES
By accessing the Platform, you also agree to be bound by the following documents, each of which is incorporated herein by reference: the PRIVACY POLICY, the RESPONSIBLE GAMING POLICY, any applicable OFFICIAL PROMOTIONAL PLAY RULES, and any applicable GAME STATEMENT. In the event of a conflict between this Agreement and any incorporated policy, this Agreement shall control unless the relevant policy expressly provides otherwise.
THE PLATFORM, TOGETHER WITH ALL CONTENT, FEATURES, FUNCTIONALITY, AND SERVICES PROVIDED THROUGH IT, IS DELIVERED TO YOU ON A STRICTLY "AS IS" AND "AS AVAILABLE" BASIS. SPRUCE INTERACTIVE INC EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
The Company makes no representation or guarantee that the Service will operate without interruption, that it will be free from defects or errors, that any content will be accurate or current, or that the Platform will meet your specific expectations. You assume all risk associated with your use of the Service, and no advice or information obtained from the Company — whether oral or written — shall create any warranty not expressly stated in this Agreement.
Certain jurisdictions do not permit the exclusion of implied warranties. In such cases, the foregoing limitations shall apply only to the fullest extent permitted by the law of your jurisdiction.
Without limiting the generality of the foregoing, the Company does not warrant that the Platform will be compatible with your device, operating system, or browser, nor that any particular game, feature, or promotion will remain available at any given time.
TO THE GREATEST EXTENT ALLOWED BY LAW, THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR PERSONAL INJURY — REGARDLESS OF THE LEGAL THEORY (WHETHER CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
In all circumstances, the aggregate liability of the Company for any claims arising under or in connection with this Agreement shall not exceed the greater of: (a) the total amounts you paid to the Company during the one hundred and eighty (180) calendar days immediately preceding the event giving rise to the claim; or (b) one United States dollar (USD $1.00).
These limitations constitute a fundamental element of the bargain between you and the Company. Certain jurisdictions do not allow the exclusion or limitation of consequential or incidental damages; in those jurisdictions, the Company's liability shall be limited to the minimum extent permitted.
You agree to defend, indemnify, and hold harmless Spruce Interactive Inc, along with its officers, directors, employees, contractors, agents, affiliates, successors, and assigns, from and against any and all claims, demands, actions, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
The Company reserves the right to assume exclusive control over the defense and settlement of any matter subject to indemnification by you, and you agree to cooperate fully with the Company in asserting any available defenses.
The Company shall not be held liable for any delay, interruption, or failure in the performance of its obligations under this Agreement where such delay, interruption, or failure results from causes beyond its reasonable control. Force majeure events include, without limitation: acts of God, natural disasters, earthquakes, floods, hurricanes, or severe weather events; pandemics, epidemics, or public health emergencies; acts of war, armed conflict, terrorism, insurrection, or civil unrest; cyberattacks, distributed denial-of-service attacks, ransomware, or other malicious digital intrusions; telecommunications or infrastructure failures; and governmental actions, orders, regulations, embargoes, or sanctions. The Company will use commercially reasonable efforts to resume performance as soon as practicable following the cessation of the force majeure event.
During a force majeure event, the Company may temporarily suspend access to all or part of the Platform without incurring liability. Any ongoing promotions, redemptions, or time-sensitive processes may be paused and will resume at the Company's discretion once normal operations are restored.
Prior to initiating any formal dispute resolution proceedings, you and the Company mutually agree to attempt to resolve any disagreement through good-faith informal negotiation for a period of sixty (60) calendar days. To commence this process, the aggrieved party must provide written notice to the other party containing the following information:
Notices from you to the Company must be sent via email to [email protected]. Notices from the Company to you will be delivered to the email address on file in your account.
Any dispute, claim, or controversy must be raised in writing within thirty (30) calendar days from the date of the event or occurrence giving rise to the dispute. Failure to provide timely written documentation within this period shall constitute a permanent and irrevocable waiver of the claim.
If the parties are unable to reach a resolution through informal negotiation within the sixty-day period, any remaining dispute shall be submitted to final and binding arbitration administered by JAMS under its then-current Streamlined Arbitration Rules and Procedures. The arbitration shall be conducted before a single neutral arbitrator. All proceedings shall be conducted in the English language. The physical location of the arbitration, if held in person, shall be Laramie County, Wyoming, although the parties may agree to conduct the hearing remotely by videoconference.
With respect to arbitration fees: where the total amount in controversy is less than ten thousand United States dollars ($10,000), the Company shall bear all filing, administration, and arbitrator fees, provided that the arbitrator does not determine the claim to be frivolous. If the claim is deemed frivolous, the standard JAMS fee-allocation rules shall apply. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
The arbitrator shall have the authority to award any relief that a court of competent jurisdiction could grant, including injunctive or declaratory relief, but only to the extent necessary to resolve the individual claim before them. The arbitrator may not award relief on behalf of anyone who is not a named party in the proceeding.
In the event that twenty-five (25) or more substantially similar arbitration demands are submitted against the Company within a sixty-day window, the parties agree that these claims shall be treated as mass arbitration and resolved through the following bellwether procedure. The similar demands shall be organized into batches of no more than one hundred (100) claims per batch. From each batch, a representative selection of bellwether cases shall be chosen by the arbitration administrator, with input from both parties. The outcomes of the bellwether proceedings shall inform the resolution of the remaining claims in each batch. This protocol is intended to promote efficiency without sacrificing the individual rights of any claimant.
You and the Company each agree that any arbitration or court proceeding shall be conducted solely on an individual basis. Neither party may serve as a class representative or participate as a member of a class, collective, consolidated, or representative action. The arbitrator shall not have authority to consolidate claims or preside over any form of class proceeding. Should any court or tribunal of competent jurisdiction determine that this class action waiver is unenforceable as to a particular claim or request for relief, then that specific claim or request — and only that claim or request — shall be severed from arbitration and adjudicated in a court of competent jurisdiction, while all remaining claims shall continue in individual arbitration.
BY AGREEING TO THESE TERMS, BOTH YOU AND SPRUCE INTERACTIVE INC VOLUNTARILY, KNOWINGLY, AND PERMANENTLY WAIVE THE RIGHT TO A TRIAL BY JURY IN ANY LEGAL ACTION OR PROCEEDING ARISING OUT OF, RELATED TO, OR CONNECTED WITH THIS AGREEMENT, YOUR ACCOUNT, OR YOUR USE OF THE SERVICE. This waiver applies in all forums and to all claims, whether sounding in contract, tort, statute, or otherwise.
You may opt out of the binding arbitration and class action waiver provisions of this Chapter by delivering written notice to the Company within thirty (30) calendar days of your initial acceptance of these Terms. Your opt-out notice must be sent via email to [email protected] and must include: (i) your full legal name; (ii) the email address associated with your Cash Avalanche account; and (iii) a clear and unequivocal statement that you wish to opt out of the arbitration and class action waiver provisions. An opt-out notice that fails to include all required elements, or that is received after the thirty-day deadline, shall have no effect.
This Agreement and all disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict-of-law principles. For any claim or proceeding that is not subject to binding arbitration, the parties consent to the exclusive personal jurisdiction and venue of the state and federal courts located in Laramie County, Wyoming.
The Platform, including all software, source code, object code, algorithms, databases, graphics, visual designs, animations, audio, video, text, user interfaces, trademarks, service marks, trade names, logos, trade secrets, patents, and all other intellectual property embodied therein, is the exclusive property of Spruce Interactive Inc or its licensors. All rights not expressly granted to you under these Terms are reserved by the Company and its licensors.
Subject to your compliance with this Agreement, the Company grants you a limited, personal, non-exclusive, non-transferable, revocable, non-sublicensable license to access and use the Platform solely for your own personal, non-commercial entertainment purposes. This license does not convey ownership of any portion of the Service and is conditioned upon your continued adherence to every provision of these Terms.
You shall not, directly or indirectly, engage in any of the following activities without the prior written consent of the Company:
Violation of any IP restriction listed above may result in immediate account termination, forfeiture of all virtual currency, and exposure to civil and criminal liability under applicable intellectual property laws.
The Company respects intellectual property rights and complies with the Digital Millennium Copyright Act (17 U.S.C. § 512(c)(3)). If you believe that content available on the Platform infringes your copyright, you may submit a takedown notification to the Company's designated agent by contacting us at [email protected]. Your notification must contain: (a) identification of the copyrighted work claimed to have been infringed; (b) identification of the material alleged to be infringing, with sufficient detail to enable us to locate it; (c) your contact information; (d) a statement that you have a good-faith belief that the use is not authorized; (e) a statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner; and (f) your physical or electronic signature.
Gold Coins ("GC") are a virtual currency available on the Platform intended exclusively for entertainment purposes. Gold Coins carry no cash value, cannot be redeemed for monetary prizes, real-world goods, or services, and are non-transferable between accounts. You may not sell, trade, barter, or exchange Gold Coins outside the Platform. The Company may distribute Gold Coins through promotional offers, purchases, or other mechanisms at its sole discretion. Gold Coins remain the property of Spruce Interactive Inc at all times and may be revoked, adjusted, or discontinued without prior notice.
Sweepstakes Coins ("SC") are a virtual currency used exclusively within the promotional sweepstakes component of the Service. Sweepstakes Coins are provided free of charge and cannot be purchased. The sole methods by which Participants may obtain Sweepstakes Coins include: the Alternative Method of Entry (AMOE) described below, daily login bonuses distributed by the Platform, and Company-sponsored promotional campaigns. No purchase is necessary to obtain or use Sweepstakes Coins.
Eligible Participants may request redemption of qualifying Sweepstakes Coin balances, subject to the following conditions:
Participants may obtain Sweepstakes Coins at no cost through the postal Alternative Method of Entry. To submit a valid postal AMOE request, you must adhere to the following requirements:
Valid postal AMOE submissions will be credited with 2 Sweepstakes Coins within seven (7) to ten (10) business days of receipt. Participants are limited to one (1) postal AMOE request per calendar day. Submissions that are bulk-produced, illegible, incomplete, or fail to meet any of the foregoing requirements will be rejected.
The Company assumes no responsibility for postal AMOE entries that are lost, stolen, delayed, damaged, or misdirected during transit. Mechanically reproduced or photocopied entries will not be accepted under any circumstances.
As an alternative to the postal method, Participants may submit an online AMOE request by sending an email to [email protected]. Upon receipt and successful verification of the request, 2 Sweepstakes Coins will be credited to the Participant's account. Standard eligibility and verification requirements apply.
All virtual currencies on the Platform — including Gold Coins and Sweepstakes Coins — do not constitute property, assets, or negotiable instruments of any kind. Virtual currencies are non-transferable and may not be assigned, gifted, inherited, sold, or traded. The Company retains full authority to modify, adjust, cap, or eliminate exchange rates, redemption thresholds, distribution methods, and other attributes of virtual currencies at any time, with or without advance notice. Balances are maintained solely as a record-keeping convenience and do not represent stored value or create any obligation upon the Company.
In the event of account termination, whether voluntary or involuntary, all virtual currency balances — both Gold Coins and Sweepstakes Coins — are subject to forfeiture. The Company bears no obligation to compensate, reimburse, or otherwise provide consideration for forfeited virtual currency under any circumstances.
You must be at least twenty-one (21) years of age to create an account, access the Platform, or participate in any aspect of the Service. By registering for an account, you represent and warrant that you meet this minimum age threshold. The Company reserves the right to request proof of age at any time and to suspend or terminate accounts that fail to satisfy verification.
By accepting this Agreement, you affirm that you possess the full legal capacity and authority to enter into binding contracts in your jurisdiction of residence. If you are acting on behalf of an organization, you represent that you are duly authorized to bind that organization to these Terms.
The Platform is intended solely for personal, non-commercial entertainment. You may not use the Service for business, professional, or commercial purposes of any kind. Accounts found to be operated for commercial benefit — including but not limited to reselling, affiliate schemes, or third-party management — may be suspended or terminated without notice.
Sharing account access with third parties, whether for compensation or otherwise, is a violation of this provision and may trigger immediate enforcement action at the Company's discretion.
The Platform is not designed for, directed toward, or intended to be used by individuals under the age of twenty-one (21). We do not knowingly collect personal information from minors. If you are a parent or legal guardian and believe that an individual under the age of twenty-one has accessed or registered on the Service, please contact us immediately at [email protected] so that we may take appropriate remedial action, including account removal.
The Service is not available to and may not be accessed by residents of, or individuals physically located in, the following jurisdictions:
Any attempt to access the Platform from a prohibited territory constitutes a material breach of this Agreement and may result in immediate account suspension, forfeiture of all virtual currency balances, and permanent exclusion from the Service.
The Company implements identity verification procedures to maintain regulatory compliance and platform integrity. You may be required to provide the following documentation upon request:
Requested documentation must be submitted within thirty (30) calendar days of the verification request. Failure to provide adequate documentation within this timeframe may result in account restriction, suspension, or closure, along with forfeiture of any unredeemed virtual currency.
The Company may conduct enhanced due diligence at any point during the account lifecycle, particularly in connection with high-value redemption requests or suspicious account activity. All personal data collected during verification is handled in accordance with the PRIVACY POLICY.
The Platform employs geolocation technologies — including GPS positioning, IP address analysis, and Wi-Fi triangulation — to verify that you are physically located in a jurisdiction where the Service is lawfully available. You must enable location services on your device while accessing the Platform. Refusal to grant location permissions, or disabling location services during an active session, may result in restricted access, temporary suspension, or inability to complete certain transactions.
The use of virtual private networks (VPNs), proxy servers, GPS spoofing tools, or any other technology intended to disguise, falsify, or obscure your true geographic location is strictly prohibited. Any detected attempt to circumvent the Platform's geolocation controls shall result in immediate suspension of your account and permanent forfeiture of all associated virtual currency balances. The Company may also pursue additional legal remedies as it deems appropriate.
To participate in the Service, you must create an account by providing accurate, complete, and current registration information. You agree to promptly update your account details if any information changes. Providing false, misleading, or outdated information constitutes a breach of these Terms and grounds for immediate account termination.
By completing the registration process, you represent that all information supplied is truthful, that you are the person identified in the registration data, and that you have the legal right to use any payment methods associated with the account.
You bear sole responsibility for maintaining the confidentiality of your account credentials, including your username, password, and any associated authentication tokens. All activity that occurs under your account is deemed to have been authorized by you, regardless of whether you actually initiated it. You must notify the Company immediately upon discovering or suspecting any unauthorized access to your account by contacting [email protected]. The Company shall not be liable for any loss or damage arising from your failure to safeguard your login credentials.
Each individual is permitted to maintain only one (1) active account on the Platform. The creation, ownership, or operation of multiple accounts by a single person, household, device, or IP address is strictly prohibited. Upon discovery of duplicate or linked accounts, the Company reserves the right to suspend all implicated accounts and permanently forfeit any virtual currency balances, pending redemptions, or other benefits associated with those accounts.
An account that shows no login activity for a period of sixty (60) consecutive calendar days shall be classified as dormant. The Company may, at its sole discretion, forfeit or zero out any virtual currency balances held in a dormant account. Reactivation of a dormant account may require renewed identity verification.
You may request voluntary closure of your account at any time by contacting the Company at [email protected]. Please note that any unredeemed virtual currency balances remaining in your account at the time of closure may be forfeited. Account closure does not relieve you of any obligations incurred prior to closure, nor does it entitle you to a refund of any previously completed transactions.
The Company reserves the unilateral right to suspend, restrict, or permanently terminate your account at its sole discretion, with or without prior notice, for any reason it deems sufficient. Grounds for involuntary suspension include but are not limited to: violation of any provision of these Terms; suspected or confirmed fraudulent activity; use of automated software, bots, or scripts; submission of false, forged, or misleading identification documents; and access from a prohibited territory.
Upon involuntary suspension, the Company may freeze, confiscate, or permanently forfeit any virtual currency balances, pending redemptions, or accrued benefits. Reinstatement following involuntary suspension is at the sole discretion of the Company and is not guaranteed.
The Company supports responsible gaming and offers a voluntary self-exclusion program. To initiate self-exclusion, contact the Company at [email protected]. The minimum self-exclusion period is three (3) months. Upon enrollment, a mandatory cooling-off period of seven (7) calendar days shall apply before the self-exclusion takes effect. Once the self-exclusion period has commenced, it cannot be reversed, shortened, or overridden during its duration. During the self-exclusion period, your account will be inaccessible and you will not be able to place any wagers, participate in any games, or access any Platform features.
By using the Platform, you agree to conduct yourself in accordance with all applicable laws, regulations, and the standards of good sportsmanship. The following activities are expressly prohibited and constitute a material breach of this Agreement:
The Company reserves the right to investigate suspected violations and to take any action it deems appropriate, including account suspension, termination, forfeiture of balances, and referral to law enforcement authorities.
The enumerated list above is illustrative and not exhaustive. The Company retains discretion to determine whether particular conduct violates the spirit or letter of these standards, even if not explicitly itemized. Users who become aware of prohibited activity by others are encouraged to report such behavior promptly.
By submitting, posting, uploading, or otherwise making available any content through the Platform ("User Content"), you grant Spruce Interactive Inc a worldwide, perpetual, irrevocable, royalty-free, fully sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, perform, and otherwise exploit such User Content in any media or format now known or hereafter developed, for any lawful purpose.
You represent and warrant that: (a) you are the sole owner of the User Content or otherwise have the right to grant the license set forth above; (b) the User Content does not infringe, misappropriate, or violate any third party's intellectual property, privacy, publicity, or other rights; and (c) the User Content does not contain any material that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable. The Company reserves the right to remove, edit, or refuse any User Content at its sole discretion, without notice or liability to you.
The Platform may contain hyperlinks, advertisements, or references to websites, applications, or services operated by third parties. These third-party resources are not under the control of Spruce Interactive Inc, and the Company makes no representations regarding their content, accuracy, availability, or practices. Each third-party resource is governed by its own terms of use and privacy policy. The presence of a link on the Platform does not constitute an endorsement, recommendation, or sponsorship by the Company. You access third-party resources at your own risk, and the Company shall bear no liability for any loss, damage, or injury arising from your interactions with them.
Individual games available on the Platform may be governed by supplementary rules, instructions, or guidelines that are displayed within the game interface. Participants are responsible for reviewing and understanding the applicable rules prior to engaging in any game. In the event of a conflict between game-specific rules and this Agreement, the provisions of this Agreement shall prevail.
The Platform utilizes certified random number generation (RNG) technology to ensure fair and unbiased outcomes across all games. The RNG systems are independently tested and undergo periodic third-party audits by qualified testing laboratories. The Company is committed to maintaining the integrity and randomness of all game outcomes.
Audit results and certifications may be made available upon request or as required by applicable regulatory authorities. No Participant may challenge a game outcome on the basis that the RNG was defective unless supported by evidence from the Company's certified testing partner.
Where applicable, the Platform may display a Return to Player (RTP) percentage for certain games. The published RTP represents a theoretical long-term statistical average calculated over a large sample of game rounds. It does not guarantee any particular outcome for individual sessions or individual players. Actual results may differ materially from the stated RTP due to the inherent variance and randomness of each game round.
In the event of a system malfunction, software error, hardware failure, or any other technical anomaly affecting the outcome of a game round, the Company reserves the right to void all pays and plays associated with the affected round and restore the Platform to its pre-malfunction state. Any virtual currency balances credited or debited as a result of a malfunctioning game shall be reversed. Malfunction voids all pays and all plays.
The Company shall not be liable for any losses, damages, or missed opportunities resulting from a malfunction. Determination of whether a malfunction occurred rests solely with the Company's technical operations team, and such determination shall be final and not subject to appeal.
The Company retains the unrestricted right to add, remove, modify, update, or disable any game, game feature, or game category at any time, without prior notice to Participants. Such modifications may include adjustments to game mechanics, visual presentation, payout structures, or availability schedules. No modification shall entitle any Participant to compensation, refund, or other remedy.
The Company reserves the right to amend, revise, or update this Agreement at any time by posting the revised version on the Platform and updating the "Last Updated" date at the top of the document. Your continued use of the Service following the posting of changes constitutes your acceptance of the revised Terms. It is your responsibility to review this Agreement periodically for updates. Material changes may, at the Company's discretion, be communicated via email or in-app notification.
The following documents are incorporated into this Agreement by reference and form an integral part of the contractual relationship between you and the Company:
You are responsible for reviewing each incorporated policy and agreeing to its terms as a condition of using the Platform.
In the event of any inconsistency or conflict between this Agreement and any incorporated policy, the provisions of this Agreement shall control, unless the relevant policy expressly states that it takes precedence over these Terms with respect to the specific matter at issue.
This Agreement, together with the incorporated policies referenced herein, constitutes the entire agreement between you and the Company with respect to the subject matter hereof and supersedes all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, relating to such subject matter.
If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such invalidity shall not affect the remaining provisions, which shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to render it enforceable while preserving the original intent of the parties.
You may not assign, delegate, or transfer your rights or obligations under this Agreement without the prior written consent of the Company. Any attempted assignment in violation of this restriction shall be void and of no effect. The Company may freely assign, transfer, or delegate any of its rights or obligations under this Agreement without your consent, including in connection with a merger, acquisition, corporate reorganization, or sale of substantially all of its assets.
No waiver of any term or provision of this Agreement shall be effective unless it is in writing and signed by the waiving party. The failure of the Company to enforce any right or provision of these Terms on one occasion shall not constitute a continuing waiver or a waiver of any other right or provision. A single waiver shall not be construed as a general pattern or practice of waiving similar provisions in the future.
Nothing in this Agreement shall be construed to create a partnership, joint venture, agency, employment, or fiduciary relationship between you and the Company. Neither party has the authority to bind the other or to incur any obligation on behalf of the other. You and the Company are independent contracting parties at all times.
The section and chapter headings used throughout this Agreement are included for convenience and ease of reference only. They shall not affect the interpretation, construction, or meaning of any provision of these Terms.
You are solely responsible for determining and fulfilling any tax obligations that may arise from your use of the Service, including but not limited to income taxes, withholding taxes, and reporting requirements under applicable federal, state, and local tax laws. The Company does not provide tax advice and recommends that you consult a qualified tax professional regarding the tax implications of any virtual currency redemptions or prizes received through the Platform.
Where required by law, the Company may issue tax reporting forms (such as IRS Form 1099) reflecting the value of prizes or redemptions. It is your responsibility to file all necessary returns and pay all taxes owed, regardless of whether you receive a reporting form from the Company.
